Nagi Terms of Service

These Terms of Service (the "Terms") govern your use of the Nagi mobile applications and related services (the "App") provided by TRUTH Corporation (トゥルース株式会社)("we", "us"). By creating an account or using the App you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.
1. Eligibility
You must be at least 16 and able to form a binding contract. By using the App you represent that you are.
2. What Nagi is
Nagi listens to your night with your phone's microphone, tells you how loud it was and when, and lets you play back the loudest moments yourself. All sound processing happens on the phone and the audio never leaves it. Your account holds only a small per-night summary (date, minutes, peak time, recorded length, your morning feel, your first answer, tags, whose night). As nights add up you see your own usual and one sentence that lays your own nights beside each other. Your own record (the morning numbers, the playback, the history) is free forever and is never placed behind the paid plan.
3. Not a medical device
Nagi is not a medical device and does not diagnose, treat, cure, or prevent any medical condition. It does not provide medical advice.
- Nagi does not detect, screen for, or claim to find any condition, including sleep apnea. It may use words like "snoring" in its own descriptions, but a night's record, however loud, is never a diagnosis.
- Nagi does not monitor you in real time and is not for emergencies. If you or someone near you needs help, contact emergency services, not the App.
- The recording, the playback and any comparison are general information only and are not a substitute for professional medical advice. If something about your health concerns you, see a doctor or another qualified professional.
- Never delay or avoid seeking medical advice because of something you read or heard in the App.
4. The microphone, your recordings, and the other person in the room
When you start a night, the App records until you stop it, an interruption such as a phone call ends it, or the night is over. The audio and the fine detail of the night stay on the phone; only the summary in section 2 stays with your account. What reaches us and what does not, and how sound from another person in the room is handled, are in the Privacy Policy.
How you use the microphone at home is your responsibility, including making sure that anyone who might be recorded, such as someone you share a bedroom with, is comfortable with it and that it complies with the law that applies to you. You represent that you have the right to make these recordings.
Recording can be interrupted by a call, a flat battery or the phone's own power settings, and is not guaranteed to run without gaps all night.
5. Your account
An account is created automatically the first time you open the App, and you can use it without entering any personal detail. If you sign in with an email and password, or with Google or Apple, provide accurate information, keep your credentials safe and take responsibility for what happens under your account. Tell us promptly about any unauthorised use. Do not share your account or create one for someone else.
6. Acceptable use
Do not use the App unlawfully (including recording someone you have no right to record), reverse-engineer it beyond what the law allows, access it by automated means, interfere with the service or its security, upload harmful code, infringe others' rights, or misrepresent who you are.
7. Your data
The audio, clips and anything else the App stores on your phone are yours. We keep the summary and account information described in the Privacy Policy only to run the App for you, including restoring your record after a new phone or a reinstall.
8. The paid plan and payment
The App's core (the morning read, the playback, the history) is free and always will be. The optional paid plan covers only the deeper analysis.
- Price: ¥380 a month or ¥3,800 a year in Japan, tax included. Outside Japan your store shows its own price for the same plan, and the store's display governs.
- Free trial: 7 days. It converts to a paid subscription automatically unless you cancel before it ends.
- Renewal: renews until cancelled. Cancel at any time in your App Store or Google Play account settings; we cannot cancel for you.
- Payment: handled by the Apple App Store or Google Play under their terms; refunds follow the store's policy.
- Restore: if you bought on another device, restore from the App's Settings.
9. Disclosures under the Act on Specified Commercial Transactions (特定商取引法に基づく表記)
For the Japanese storefront the disclosures required by the Act on Specified Commercial Transactions are given, in Japanese, in the Japanese version of these Terms (section 9); in summary: seller トゥルース株式会社, representative Ohagwa Ekene Kelvin, address 4-13-5-303 Minamigyotoku, Ichikawa, Chiba, contact support@mynagi.jp, prices ¥380 a month and ¥3,800 a year including tax, payment through the App Store or Google Play at the end of the free trial and at each renewal, delivery immediately on purchase, no returns of digital content, cancellation through the store, refunds under the store's policy, iOS 18.4 or later and Android 8.0 or later.
10. Intellectual property
The App (its software, design, text and branding) belongs to TRUTH Corporation and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes under these Terms.
11. Third-party services
The App works with third-party services, including Apple and Google sign-in and the App Store and Google Play for payment. Their terms and privacy policies govern your use of them; we are not responsible for third-party services.
12. Disclaimers
The App is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the App will be uninterrupted, error-free or secure, that a recording will run without gaps, or that any reading, comparison or environmental data is accurate or complete.
13. Limitation of liability
To the fullest extent the law allows, TRUTH Corporation and its affiliates are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising from your use of or inability to use the App. To the fullest extent the law allows, our total liability for any claim relating to the App will not exceed the greater of what you paid us in the twelve months before the claim or ¥5,000. Liability that mandatory consumer law does not allow us to limit is not limited.
14. Indemnity
You agree to indemnify and hold harmless TRUTH Corporation and its affiliates from claims, damages and expenses arising from your misuse of the App or your breach of these Terms.
15. Termination
We may suspend or end your access if you breach these Terms or to protect the service or other users. You may stop using the App and delete your account at any time. Sections that by their nature should survive (3, 4, 7, 10, 12, 13, 14) survive termination.
16. Changes
We may change the App or these Terms. For material changes to the Terms we update the version and date and tell you inside the App. Continued use after a change takes effect means you accept it.
17. Governing law and disputes
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the App is submitted to the exclusive jurisdiction of the Chiba District Court (千葉地方裁判所) as the court of first instance, unless mandatory consumer-protection law lets you bring proceedings elsewhere.
